Welcome to BulkDrop. Please read these Terms and Conditions ("Terms") carefully
before using our website, manufacturer portals, and upcoming mobile applications
(collectively referred to as the "Platform"). By accessing or using our Platform, you
agree to be bound by these Terms and our Privacy Policy. If you do not agree to these
Terms, you must immediately cease all access and use of the Platform.
1. THE SERVICES & PLATFORM MODEL
BulkDrop operates as a premier digital B2B/B2C marketplace and integrated logistics
coordinator.
The Platform: Connects commercial beverage manufacturers, water production
lines, and bulk suppliers ("Suppliers") with traditional retailers, storefront owners,
corporate bodies, and event planners ("Users").
Logistics Execution: BulkDrop does not operate as a direct shipping carrier. All
logistics tracking, dispatch, and final door-to-door fulfillment are executed through
our integrated third-party transport infrastructure partner, Yango Cargo, or other
designated delivery networks.
2. ACCOUNT REGISTRATION & SECURITY
Eligibility: To create an account on BulkDrop, you must be at least 18 years of
age and possess the legal capacity to enter into binding contracts under
Ghanaian law.
Account Types: Users may register as an Ordinary User (B2C
Household/Consumer) or a Verified Retailer (B2B Merchant). B2B accounts
may require additional validation, including local business registrations, location
confirmation, or identification.
Account Safety: You are entirely responsible for maintaining the confidentiality
of your account credentials. Any activities, orders, or financial commitments
made under your account will be deemed your exclusive responsibility.
3. ORDERING, PRICING, & STOCK AVAILABILITY
Wholesale Pricing: BulkDrop displays manufacturer-direct or platform-optimized
wholesale rates. All prices listed on the Platform are subject to dynamic market
adjustments based on manufacturer cost shifts, seasonal demands, and volume
parameters.
Minimum Order Quantities (MOQ): Certain items, packages, or specific brand
tiers may require a Minimum Order Quantity (MOQ) to qualify for wholesale
distribution rates.
Order Acceptance: BulkDrop reserves the right to cancel, modify, or decline any
order if a manufacturer reports sudden stock depletion, production stops, or
geographic distribution constraints.
4. PAYMENT TERMS&MOBILEMONEYESCROW
To accommodate regional merchant habits and reduce transaction friction, BulkDrop
provides flexible transaction pathways:
Payment-on-Arrival (Cash on Delivery / MoMo Transfer): Users may select
the payment-upon-delivery framework. Upon the physical arrival of the Yango
Cargo vehicle at your specified storefront or warehouse location, you are
required to immediately execute the payment via Mobile Money (MoMo) or cash
to the authorized dispatcher before the offloading of stock.
Digital Wallet & Upfront Settlement: Users may also choose to settle balances
upfront via integrated digital payment gateways, mobile money APIs, or
cryptographic token settlements (e.g., Coinbase API) where applicable.
Non-Payment Penalties: Refusal to settle payment upon delivery for a verified
order without legal cause will result in immediate permanent suspension of your
account, forfeiture of all loyalty points, and potential civil recovery actions for
logistics expenses incurred.
5. LOGISTICS, DELIVERY, AND RISK OF LOSS
Delivery Scope: Deliveries are bounded strictly within our active operational
zones within the Accra enclave and surrounding territories, as mapped inside the
application interface.
Door-to-Door Execution: Deliveries are dropped off directly at the retail
storefront, warehouse entrance, or designated event grounds provided during
checkout. Users must ensure safe, clear vehicular access for the Yango Cargo
delivery fleet.
Inspection Upon Arrival: The User is legally required to visually inspect all
crates of soft drinks, juices, and pallets of water immediately upon delivery. Once
the User signs the digital proof-of-delivery or authorizes payment, risk of loss,
damage, or breakage passes entirely to the User. BulkDrop will not accept
liability for product damages reported after the delivery vehicle leaves the
premises.
6. LOYALTY & REWARDSECOSYSTEM
Point Accumulation: Users automatically accumulate proprietary rewards points
on verified, completed purchases through the Platform.
Redemption Value: Accumulated loyalty points have zero external cash value
and cannot be withdrawn as physical fiat currency. Points can strictly be
redeemed inside the Platform to purchase future water or beverage inventory,
acting as a digital balance offset.
Forfeiture: BulkDrop reserves the explicit right to void, cancel, or wipe out an
account's accumulated rewards if the account is flagged for fraudulent activity,
continuous arbitrary cancellation of orders, or platform abuse.
7. USER CODEOFCONDUCT
Users agree to utilize BulkDrop strictly for legitimate commerce. You are strictly
prohibited from:
Bypassing BulkDrop’s technical architecture to cut separate back-alley transport
deals with assigned Yango Cargo drivers.
Inputting fraudulent, misleading, or ghost storefront locations to manipulate
delivery algorithms.
Reverse-engineering the web or mobile codebases hosted via Netlify, Render, or
app stores.
8. INTELLECTUAL PROPERTY RIGHTS
The BulkDrop name, logo marks, user interface designs, source code, database
architectures, and marketing video assets created by the BulkDrop media team are the
exclusive intellectual property of BulkDrop Technologies. Unauthorized reproduction,
modification, or brand cloning is strictly prohibited under the Intellectual Property and
Copyright Laws of Ghana.
9. LIMITATION OF LIABILITY
Platform Availability: BulkDrop provides its technology interfaces on an "as-is"
and "as-available" framework. While we utilize robust hosting solutions
(Render/Netlify), we do not guarantee uninterrupted uptime during sudden third
party network grid shocks or payment gateway outages.
Indirect Losses: BulkDrop and its third-party logistics partners shall not be held
liable for any indirect commercial loss, missed business profits, or wedding/event
disruptions resulting from manufacturer product shortages, vehicular traffic
delays in the Accra enclave, or force majeure events.
10. GOVERNING LAW &DISPUTE RESOLUTION
These Terms shall be governed, interpreted, and enforced in accordance with the
statutory laws of the Republic of Ghana.
In the event of any operational dispute, misunderstanding, or breach arising from a
transaction, both parties agree to first seek an amicable, good-faith out-of-court
settlement through mutual mediation. If mediation fails within thirty (30) days, the matter
shall be referred to the exclusive jurisdiction of the appropriate courts within the Greater
Accra Region.
11. MODIFICATIONS TO TERMS
BulkDrop reserves the right to update or alter these Terms at any time. Any changes will
be published directly on this page with an updated timestamp. Continued use of the
website or mobile applications following updates constitutes your binding legal
acceptance of the modified Terms.
